1. Organiser
Bisly OÜ, registry code [ ], [address], Estonia ("Bisly").
2. Purpose and scope
Bisly is expanding its partner network in Germany and Poland. Under this programme Bisly offers one pilot partner slot in Germany and one in Poland (each a "Slot") to an electrical contracting company that will deliver a pilot project with Bisly's building automation system using its own electricians. The programme provides hardware and training. It does not provide on-site services.
3. Who can apply
An applicant ("Applicant") must, at the time of registration:
(a) be a registered electrical contracting business with its principal place of business in Germany or Poland, employing 2 to 50 people;
(b) have no in-house building automation programming team;
(c) name a real construction or renovation project in which the Applicant is, or will be, the appointed electrical contractor, with building automation in scope and electrical first fix scheduled before 31 March 2027;
(d) confirm that the project's automation specification is not locked to a competing protocol or vendor, and that the Applicant has authority, or a route to the person with authority, to specify Bisly;
(e) not be an existing Bisly partner, distributor or active customer;
(f) register through the campaign landing page with complete and accurate information, accepting these terms.
4. How the Slot is allocated - first come, first served
4.1 Each registration is timestamped by the landing page form.
4.2 The Slot is allocated to the first Applicant, in order of timestamp, whose registration is complete and who passes the eligibility check in clause 3.
4.3 Bisly contacts each Applicant within five working days of registration to confirm eligibility. An Applicant who does not respond to Bisly's confirmation request within five working days loses their place in the order, and the Slot passes to the next eligible Applicant.
4.4 Allocation is confirmed in writing by Bisly. Until written confirmation, no Slot is allocated.
4.5 Bisly's determination of eligibility is final. Bisly may decline any registration that does not meet clause 3 or that Bisly reasonably considers to have been submitted in bad faith.
5. Campaign period
Registration opens on [launch date] and closes at 23:59 CET on 31 October 2026, or earlier in a market once that market's Slot has been allocated and confirmed. Bisly shows the Slot status on the landing page. Bisly may extend the period by notice on the landing page if no eligible registration has been received.
6. What the pilot partner receives
6.1 Pilot hardware. Bisly hardware and standard configuration for the named project, free of charge, up to a maximum list value of EUR 20,000 (net, excluding VAT, at Bisly's published partner price list). The scope is agreed in writing between Bisly and the pilot partner before delivery, based on the project's design. Hardware or services beyond the agreed scope, or beyond EUR 20,000, are invoiced at Bisly partner pricing.
6.2 Partner training. Bisly's standard partner training for up to [8] of the pilot partner's staff, delivered online in [two] sessions of up to [4] hours each, covering system design, configuration and on-site commissioning with the installer app. Training materials and recordings are provided in English, with German or Polish materials where available. Tool access needed to complete the training and the pilot is provided under Bisly's standard partner terms.
6.3 Support during the pilot. A named Bisly contact supports the pilot partner remotely from design review through commissioning to handover: review of the design and configuration before installation, scheduled video support during commissioning, and response to support requests within [one] working day. Bisly does not provide staff on site under this programme. On-site attendance, if requested, is a separate paid service at Bisly's standard rates.
6.4 Co-marketing. A joint case study (text, photographs, one short video) produced and paid for by Bisly, naming the pilot partner, published on Bisly's website, LinkedIn and partner channels in the local language and in English, and licensed to the pilot partner for its own marketing without restriction. Bisly may announce the pilot partnership in trade press.
6.5 Partner sales assets. Access to Bisly's partner sales assets (message card, partner economics one-pager, configuration video, case studies as published).
7. What the pilot partner commits to
7.1 Deliver the named project with the Bisly system installed and commissioned by the pilot partner's own electricians, with Bisly's remote support under clause 6.3, with commissioning completed by [30 June 2027].
7.2 Put at least [2] electricians through the partner training under clause 6.2 before installation starts, including at least one who has not previously worked with building automation.
7.3 Allow Bisly to film and photograph the training and the commissioning (the pilot partner films on site following Bisly's brief), and to publish the case study with the pilot partner's company name, a named contact person, a quotation, and project figures (points, commissioning hours, days on site, return visits). The pilot partner approves the case study text before publication; approval may not be unreasonably withheld and is deemed given if no comments are received within ten working days of receipt.
7.4 Record and share with Bisly, in the format Bisly provides, the commissioning hours, days on site and return visits for the pilot project, for use in Bisly's deployment economics benchmark. Bisly publishes benchmark data in aggregate unless the pilot partner agrees to be named.
7.5 Invite Bisly to quote on at least [2] further projects with automation in scope within twelve months of pilot commissioning. This is a commitment to invite a quotation, not to award work.
7.6 Provide Bisly with the project design, drawings and schedule needed for the design review, and a named project contact who is reachable during commissioning.
8. Hardware, ownership, warranty and support
8.1 The pilot hardware is delivered to the project site or the pilot partner's premises. Title passes to the project's end customer on installation. The pilot hardware may not be resold, returned for credit or used on another project without Bisly's written consent.
8.2 Bisly provides its standard product warranty and partner support for the pilot project. Bisly's obligations are limited to those in clause 6. Design responsibility for the electrical installation, cabling, installation work, other trades, permits, and compliance of the overall installation remain the pilot partner's responsibility. Bisly's design review under clause 6.3 is advisory and does not transfer that responsibility.
8.3 Bisly's total liability under this programme is limited to the value of the hardware delivered under clause 6.1, except for liability that cannot be limited by law.
9. Applicants who do not receive the Slot
All Applicants with a complete registration receive the partner sales assets in clause 6.5 and an invitation to the next partner training in their market. Bisly may, at its discretion, offer such Applicants a supported first project at partner pricing outside this programme.
10. Withdrawal of a Slot
Bisly may withdraw a confirmed Slot if the pilot partner is in material breach of clause 7 and does not remedy it within fifteen working days of written notice, or if the named project is cancelled or delayed beyond [30 September 2027]. Hardware already delivered and installed is not reclaimed; hardware not yet delivered is not delivered. If the campaign period is still open, the Slot passes to the next eligible Applicant.
11. No cash alternative, no transfer
The Slot and its benefits are not transferable and cannot be exchanged for cash, credit or discount.
12. Data protection
Registration data is processed by Bisly OÜ as controller for the purpose of running this programme, checking eligibility and, where consent is given, sending partner marketing communications, in accordance with the GDPR and Bisly's privacy notice at [URL]. Data is stored in Bisly's CRM (HubSpot). Applicants may withdraw marketing consent at any time. Registration data of unsuccessful Applicants is retained for [24] months for partner-programme follow-up unless deletion is requested.
13. Publicity
By registering for the Slot, the Applicant agrees that, if allocated the Slot, Bisly may announce the pilot partnership publicly in the forms described in clause 6.4. No other publicity about an Applicant is made without consent.
14. Changes and termination of the programme
Bisly may amend these terms or end the programme for material reasons, including where no eligible registration is received, by notice on the landing page. Slots already confirmed in writing are not affected by amendments made after confirmation.
15. Governing law
These terms are governed by the laws of Estonia. Mandatory provisions of German or Polish law applicable to an Applicant are not affected. Place of jurisdiction is Tallinn, Estonia, unless mandatory law provides otherwise.
